NiceBots Terms of Service

1. Definitions

For the purpose of these Terms of Service (hereinafter referred to as “Terms”), the following definitions shall apply:

“NiceBots” refers to the services and products offered under the NiceBots brand, including all associated websites, applications, and services. “Discord” means Discord Inc. and its proprietary communication platform. “Discord App” or “App” refers to any Discord application, bot, integration, tool, or service that is developed, maintained, operated, or provided by NiceBots for use within the Discord platform. “Services” encompasses all products, services, Discord Apps, custom development work, hosting services, consulting services, and any other offerings provided by NiceBots, whether free or paid, including all updates, modifications, and derivatives thereof.

“User” means any individual or entity that accesses, uses, or benefits from our Services, including but not limited to Discord users, server administrators, and paying customers. “Public Services” means any Services that NiceBots makes available to multiple users under standardized terms and conditions. “Custom Services” refers to any development work, consulting services, or other services that are specifically tailored, created, or modified for a particular User according to their specifications. “Subscription Services” means any Services that are provided on a recurring payment basis, regardless of the billing frequency or duration.

“Hosting Services” refers to the infrastructure, maintenance, and operational services that NiceBots provides for Discord Apps, whether such Apps were created by NiceBots or third parties. “Beta Services” means any experimental, pre-release, or test services that NiceBots may make available on an exemplificatory basis without commitment to functionality or continuation. “Discord Server” refers to a community or workspace created within the Discord platform. “Discord User” means any individual who maintains an account on the Discord platform.

“Server Administrator” means any Discord User who possesses administrative permissions within a Discord Server and has the authority to add, configure, or remove Discord Apps from such server. “LemonSqueezy” refers to Lemon Squeezy, LLC, a third-party payment processor that serves as NiceBots’ merchant of record for certain transactions. “Intellectual Property Rights” encompasses all intellectual property rights worldwide, whether registered or unregistered, including without limitation all patent rights, copyright rights, moral rights, rights of publicity, trademark rights, trade dress rights, service mark rights, goodwill, trade secret rights, and any other proprietary rights recognized by any jurisdiction.

“Custom Deliverables” means any work product, code, documentation, or other materials created by NiceBots specifically for a User under Custom Services. “Service Data” means all data, information, and content that is collected, processed, stored, or transmitted through our Services, including but not limited to user data, server data, configuration settings, and usage analytics. “Feedback” refers to any suggestions, ideas, enhancement requests, recommendations, corrections, or other input provided by Users regarding our Services.

“Abuse” means any use of our Services that, in NiceBots’ sole discretion, violates these Terms, applicable laws, or reasonable usage expectations, or that may harm NiceBots, our Services, other Users, or third parties. “Chargeback” means any payment dispute, reversal, chargeback, or challenge initiated by a User through their bank, credit card company, payment processor, or any other financial institution. “Sanctions” means any economic sanctions, trade restrictions, or embargoes imposed by any government, international organization, or regulatory body.

2. Acceptance of Terms and Capacity

By accessing, using, or purchasing any Services from NiceBots, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your use of our Services constitutes your acceptance of these Terms and your agreement to comply with all provisions herein. If you do not agree to these Terms in their entirety, you must immediately discontinue all use of our Services.

You represent and warrant that you have the legal capacity and authority to enter into these Terms. If you are accepting these Terms on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the terms “you” and “your” shall refer to such entity. You further represent that your use of our Services will not violate any applicable laws or regulations in your jurisdiction.

3. Eligibility and Geographic Restrictions

3.1 Age Requirements

To use our Services, you must meet the age requirements established by Discord for your jurisdiction. Additionally, to purchase any paid Services or enter into any financial transaction with NiceBots, you must be at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is higher. By using our Services or making any purchase, you affirm that you meet these age requirements.

3.2 Geographic Availability

Our Services are available only in countries and regions where Discord operates and where not prohibited by law. NiceBots explicitly does not provide Services to users located in, or associated with, the Russian Federation, Belarus, the Democratic People’s Republic of Korea, or the People’s Republic of China. Furthermore, our Services are not available to any individual or entity subject to sanctions imposed by Switzerland, the European Union, the United States, or any jurisdiction in which our service providers operate.

Geographic restrictions may be modified at any time without notice, and such modifications shall apply retroactively to existing Users. Users who become subject to geographic restrictions shall not be entitled to any refund, compensation, or continued access to Services. It is your responsibility to ensure that your use of our Services complies with all applicable geographic restrictions and sanctions regulations.

3.3 Account Relationship with Discord

Your ability to use NiceBots Services is contingent upon maintaining a valid Discord account in good standing. NiceBots relies on Discord for user authentication and identification. The loss, suspension, or termination of your Discord account may result in the immediate loss of access to all NiceBots Services without any right to refund or compensation. NiceBots is not responsible for any loss of Services resulting from actions taken by Discord regarding your account.

4. Service Provision and Limitations

4.1 Nature of Services

NiceBots may offer various categories of Services, including but not limited to free Discord Apps, premium subscription-based Discord Apps, custom development services, hosting services for Discord Apps, consulting services, and beta or experimental services. The specific features, functionality, and terms applicable to each Service may vary and are subject to change at NiceBots’ sole discretion.

4.2 No Service Level Agreement

NiceBots explicitly provides no service level agreement, uptime guarantee, availability commitment, or response time assurance for any Services. All Services are provided on an “as is” and “as available” basis without any warranty or guarantee of continuous operation, functionality, or availability. NiceBots may experience downtime, maintenance periods, or service interruptions at any time without notice and without liability to Users.

4.3 Service Modifications

NiceBots reserves the absolute right to modify, update, discontinue, or alter any aspect of our Services at any time without prior notice. Such modifications may include but are not limited to adding or removing features, changing functionality, modifying interfaces, adjusting limitations, or completely discontinuing Services. You acknowledge that NiceBots has no obligation to maintain any particular feature or functionality, and that Services may change substantially over time.

4.4 Data Backup and Recovery

While NiceBots implements reasonable data backup practices as part of our standard operations, we make no commitment or guarantee regarding data recovery, backup availability, or data integrity. Users are solely responsible for maintaining their own backups of any critical data. NiceBots shall not be liable for any data loss, corruption, or inability to recover data, regardless of the cause.

4.5 Beta Services

Beta Services, when offered, are provided on an purely exemplificatory basis with no commitment to functionality, availability, continuation, or support. Beta Services may be discontinued, modified, or transitioned to paid Services at any time without notice. Use of Beta Services is entirely at your own risk, and NiceBots disclaims all liability for any issues arising from Beta Service usage.

5. Payment Terms

5.1 Payment Processing

All payments for NiceBots Services are processed through LemonSqueezy, which serves as our merchant of record. When you make a purchase, you are technically purchasing from LemonSqueezy as our authorized reseller, and both these Terms and LemonSqueezy’s terms of service apply to your transaction. Payment processing, currency conversion, and transaction security are handled by LemonSqueezy according to their policies and procedures.

5.2 Pricing and Currency

Prices for Services are primarily denominated in United States Dollars (USD) unless otherwise specified. LemonSqueezy may offer currency conversion and display prices in other currencies at their discretion, but the USD price remains the authoritative price for all Services. Prices are subject to change at any time, though existing subscribers will receive appropriate notice of price changes affecting their subscriptions.

5.3 Billing Models

NiceBots may offer various billing models for different Services, including but not limited to one-time purchases, recurring subscriptions with various billing periods, usage-based pricing, and custom project-based pricing. The specific billing model applicable to each Service will be clearly indicated at the time of purchase. Subscription Services may automatically renew according to their billing period unless cancelled by the User.

5.4 Refund Policy

For Custom Services, no refunds will be provided for any completed work unless explicitly agreed otherwise in writing prior to commencement of work. For other Services, refunds may be granted at NiceBots’ sole discretion and must be requested within thirty (30) days of the original purchase date. Subscription refunds, when granted, will be prorated from the date of cancellation. To request a refund, Users must contact NiceBots at hello@nicebots.xyz or through our official Discord server, providing their purchase receipt and reason for the refund request.

5.5 Price Modifications

NiceBots reserves the right to modify prices for any Services at any time. For existing subscribers, price changes will be communicated with appropriate notice before taking effect, and subscribers will have the opportunity to cancel their subscription before new prices apply. Continued use of Services after price changes take effect constitutes acceptance of the new pricing.

5.6 Consequences of Payment Disputes

Any chargeback, payment dispute, payment reversal, or challenge initiated against NiceBots, regardless of the reason or outcome, will result in immediate and permanent termination of all Services provided to the User. This termination extends across all NiceBots Services, not merely the Service associated with the disputed transaction. Additionally, any such payment dispute will result in the immediate invalidation of all Custom Services contracts, forfeiture of all licenses and access rights, permanent prohibition from using any current or future NiceBots Services, and loss of any right to refunds, data recovery, or appeals. These consequences apply regardless of whether the payment dispute is resolved in the User’s favor.

5.7 Tax Responsibilities

Users are responsible for all applicable taxes related to their purchase and use of Services. Prices displayed may or may not include value-added tax (VAT), goods and services tax (GST), or other applicable taxes depending on your jurisdiction. Where required by law, taxes will be collected by LemonSqueezy as merchant of record and remitted to appropriate tax authorities.

6. Intellectual Property Rights

6.1 Ownership of NiceBots Services

NiceBots retains all right, title, and interest in and to all Services, including all associated Intellectual Property Rights. This includes but is not limited to all Public Services, Discord Apps, software code, algorithms, methodologies, processes, designs, documentation, and any improvements or derivatives thereof. No transfer of ownership occurs through your use of Services unless explicitly stated in a separate written agreement with additional consideration.

6.2 Custom Services Intellectual Property

For Custom Services, unless explicitly agreed otherwise in writing with separate consideration provided, NiceBots retains all Intellectual Property Rights in and to all Custom Deliverables. When NiceBots provides access to source code, software, or other Custom Deliverables, the User receives only a limited, non-exclusive, non-transferable, non-sublicensable license to use such materials solely for the specific purchasing entity’s internal business purposes as originally intended and agreed upon. This license does not include any rights to modify, create derivative works, reverse engineer, resell, redistribute, or use the Custom Deliverables for any purpose other than originally specified.

6.3 User Content Rights

Users retain ownership of their pre-existing content and data that they provide to our Services. However, by using our Services, you grant NiceBots a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content as necessary to provide the Services. NiceBots may also use anonymized and aggregated data derived from your use of Services for analytics, service improvement, and other legitimate business purposes.

6.4 Feedback and Suggestions

If you provide any Feedback to NiceBots regarding our Services, you hereby grant NiceBots an exclusive, royalty-free, worldwide, irrevocable, perpetual, and unlimited license to use, implement, modify, and incorporate such Feedback into our Services or create new services based on such Feedback. NiceBots shall have no obligation to implement any Feedback, provide credit or compensation for Feedback, or maintain confidentiality of Feedback unless separately agreed in writing.

6.5 Restrictions on Use of Intellectual Property

Users are strictly prohibited from attempting to reverse engineer, decompile, disassemble, or otherwise derive source code from any NiceBots Services. Users may not remove, alter, or obscure any proprietary notices, labels, or marks from our Services. Users may not use NiceBots’ Intellectual Property to compete with NiceBots or to develop similar or derivative services. Any use of NiceBots’ Intellectual Property beyond the scope explicitly authorized in these Terms is strictly prohibited.

6.6 No Implied Licenses

No license or right is granted to Users except as explicitly stated in these Terms or in a separate written agreement. All rights not expressly granted are reserved by NiceBots. The provision of Services does not constitute a sale of any Intellectual Property Rights, and no implied licenses are granted through the use of Services.

7. Non-Transferability of Services

Services provided by NiceBots are personal to the User and may not be transferred, assigned, sold, or sublicensed to any third party without explicit written consent from NiceBots. This non-transferability applies even in cases of corporate merger, acquisition, reorganization, or similar business transactions. In such events, licenses and Services cannot be transferred laterally or upward within corporate structures without NiceBots’ prior written approval, which may be withheld at NiceBots’ sole discretion.

8. User Responsibilities and Acceptable Use

8.1 Compliance Obligations

Users are responsible for ensuring that their use of Services complies with all applicable laws, regulations, and third-party terms of service, including but not limited to Discord’s Terms of Service. Users must obtain all necessary consents, permissions, and authorizations required for their use of Services. Users are responsible for the accuracy and legality of all content they provide to or through our Services.

8.2 Server Administrator Responsibilities

When adding NiceBots Apps to Discord Servers, Server Administrators are responsible for informing all server members about the presence and data collection activities of such Apps. Server Administrators must ensure that their server rules or terms acknowledge the use of automated services and data collection. Server Administrators are responsible for properly configuring Apps and managing permissions appropriately for their intended use.

8.3 Prohibited Uses

Users shall not use Services for any illegal purpose or in violation of any applicable laws or regulations. Users shall not use Services to harass, abuse, threaten, or intimidate others. Users shall not use Services to distribute malware, viruses, or other harmful code. Users shall not use Services for fraud, deception, or misrepresentation. Users shall not use Services in connection with adult content, defined as content restricted to individuals eighteen years of age or the age of majority in the relevant jurisdiction, whichever is higher.

Users shall not use Services for gambling activities, including gambling with virtual currencies. Users shall not use Services for cryptocurrency-related scams or fraudulent investment schemes. Users shall not use Services to promote hate speech, discrimination, or violence. Users shall not attempt to gain unauthorized access to any systems or networks. Users shall not use Services in a manner that could damage, disable, or impair our Services or interfere with other Users’ access to Services.

Users shall not resell, redistribute, or provide access to Services to third parties without authorization. Users shall not exceed reasonable usage limits or engage in activities that consume excessive resources. Users shall not use Services to develop competing products or services. Users shall not violate any third-party intellectual property rights. This list of prohibited uses is not exhaustive, and NiceBots reserves the right to determine, in its sole discretion, what constitutes unacceptable use of Services.

8.4 Monitoring Responsibilities

Users are responsible for regularly monitoring NiceBots’ website at https://nicebots.xyz for updates to these Terms, policies, and Service information. The website serves as the sole authoritative source for all terms and policies. While NiceBots may provide notifications through Discord or email, such notifications are purely informational, and Users remain responsible for checking the website for official updates. Failure to monitor for updates does not excuse non-compliance with modified terms.

9. Consequences of Violations

9.1 Termination for Cause

Any violation of these Terms, any Abuse as determined by NiceBots in its sole discretion, any legal action or threat thereof against NiceBots, any court proceeding initiated against NiceBots, any association with sanctioned entities or regions, or any activity that NiceBots determines may harm its interests, may result in immediate termination of all Services without notice.

9.2 Cross-Service Impact

Termination for cause will affect all NiceBots Services, not merely the Service where the violation occurred. Such termination will result in the immediate invalidation of all contracts and agreements with NiceBots, the permanent prohibition from using any current or future NiceBots Services, the forfeiture of all payments made to NiceBots without right to refund, the loss of all licenses and access rights, and the loss of any right to data recovery or appeal. These consequences are cumulative and apply regardless of the severity of the violation.

10. Data Protection and Privacy

10.1 Privacy Policy

The collection, use, and protection of personal data through our Services is governed by our Privacy Policy, available at https://nicebots.xyz/legal/privacy, and any applicable service-specific privacy policies. By using our Services, you consent to the data practices described in our Privacy Policy.

10.2 Data Security

NiceBots implements industry-standard security measures to protect Service Data. However, no method of electronic transmission or storage is completely secure, and NiceBots cannot guarantee absolute security. In the event of a data breach that requires notification under applicable law, NiceBots will provide notification within one working week or as otherwise required by law.

10.3 Data Rights

Where applicable under the General Data Protection Regulation (GDPR), Swiss Federal Act on Data Protection, or similar legislation, Users may have certain rights regarding their personal data, including rights of access, correction, deletion, and portability. Requests to exercise these rights should be submitted to hello@nicebots.xyz and will be responded to within thirty (30) days.

10.4 Data Retention

Service Data is retained according to the periods specified in our Privacy Policy. Transaction records and financial data may be retained permanently for legal compliance purposes. Anonymized and aggregated data may be retained indefinitely. NiceBots has no obligation to delete data automatically upon the closure or deletion of a Discord account, as NiceBots has no means of being notified of such events.

11. DMCA and Copyright

Users may report copyright infringement by sending notice to abuse@nicebots.xyz with a subject line beginning with “DMCA:” followed by a description of the alleged infringement. False or bad faith copyright claims may result in termination of Services and potential legal action.

12. Disclaimers and Limitations of Liability

12.1 Disclaimer of Warranties

NICEBOTS PROVIDES ALL SERVICES “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. NICEBOTS EXPLICITLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NICEBOTS DOES NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. NICEBOTS MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY SERVICES.

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NICEBOTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER NICEBOTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL NICEBOTS’ TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF SERVICES EXCEED THE AMOUNT PAID BY YOU TO NICEBOTS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

12.3 Force Majeure

NiceBots shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or labor disputes, shortages of transportation facilities, fuel, energy, labor or materials, failures of telecommunications or information systems, actions by Discord or other third-party service providers, or any other circumstances beyond NiceBots’ reasonable control.

13. Indemnification

You agree to indemnify, defend, and hold harmless NiceBots and its officers, directors, employees, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from your use of Services, your violation of these Terms, your violation of any third-party rights, including but not limited to intellectual property rights and privacy rights, any content you provide through Services, or any harm caused by your actions or omissions. This indemnification obligation will survive the termination of these Terms and your use of Services.

14. Termination

14.1 Termination by NiceBots

NiceBots may terminate or suspend your access to Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to breach of these Terms. NiceBots may also terminate Services at any time at its sole discretion without cause.

14.2 Effects of Termination

Upon termination, your right to use Services will immediately cease. All licenses granted to you under these Terms will immediately terminate. You must immediately cease all use of Services and delete any downloaded or copied materials related to Services. Payment obligations incurred prior to termination remain due and payable. NiceBots shall have no obligation to maintain or provide any Service Data after termination. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.

15. Modifications to Terms

NiceBots reserves the right to modify these Terms at any time in its sole discretion. Modified Terms will become effective immediately upon posting to the NiceBots website at https://nicebots.xyz unless explicitly specified otherwise in writing. It is your responsibility to review these Terms regularly for changes. Your continued use of Services after the posting of modified Terms constitutes your acceptance of such modifications. If you do not agree to modified Terms, your sole remedy is to discontinue use of all Services.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Switzerland, specifically the laws applicable in Lausanne, Switzerland, without regard to conflict of law principles.

16.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or Services must first be subject to good-faith negotiations between the parties. If such negotiations do not resolve the dispute within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Lausanne, Switzerland. All proceedings shall be conducted in the French language. Each party shall bear its own costs and attorney’s fees unless the court orders otherwise. You waive any right to participate in any class action lawsuit or class-wide arbitration.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any service-specific terms, constitute the entire agreement between you and NiceBots regarding the Services and supersede all prior agreements and understandings, whether written or oral.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

17.3 No Waiver

The failure of NiceBots to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NiceBots.

17.4 Assignment

You may not assign or transfer these Terms or any rights granted hereunder without NiceBots’ prior written consent. NiceBots may assign these Terms and all rights and obligations hereunder without restriction and without notice to you.

17.5 Interpretation

These Terms shall be interpreted to provide NiceBots with maximum protection under applicable law. Headings are for convenience only and shall not affect interpretation. The words “including” and “includes” shall be deemed to be followed by “without limitation.”
